A Non-Disclosure Agreement or Confidentiality Agreement is a vital legal instrument used in Ghana to protect sensitive business information during professional engagements. Whether you are an employer, a consultant, or a business owner, using a well-drafted NDA ensures that your trade secrets, financial data, and customer lists remain protected under the law. In Ghana, these agreements are governed by the Contracts Act 1960 Act 25 and reinforced by the Protection Against Unfair Competition Act 2000 Act 589. By establishing clear obligations for the receiving party, you create a robust legal framework that allows you to pursue remedies such as injunctions or damages in the event of a breach. Understanding the Governing Laws The primary legal basis for an NDA in Ghana is the Contracts Act 1960 Act 25 which governs the formation and enforceability of private contracts. Furthermore, Section 5 of the Protection Against Unfair Competition Act 2000 Act 589 specifically addresses the protection of secret information, making it unlawful to acquire or disclose such information contrary to honest commercial practices. When drafting your agreement, it is essential to ensure that your definitions of confidential information are clear and that the obligations imposed are reasonable. Overly broad clauses that attempt to restrict trade or prevent lawful whistleblowing under the Whistleblower Act 2006 may be deemed unenforceable by the courts. Mandatory Elements and Best Practices While there is no single statutory form for an NDA in Ghana, a valid agreement must meet the standard requirements of contract law including offer, acceptance, and intention to create legal relations. You should clearly identify the parties by their full legal names and addresses. For companies, include the registered company name and registration number. For individuals, providing identification details such as a Ghana Card number is considered best practice. The agreement must explicitly define what constitutes confidential information and outline the specific permitted purpose for which the information may be used. Stamp Duty Requirements In Ghana, private agreements often attract stamp duty to be admissible as evidence in court. Under the Stamp Duty Act 2005 Act 689 as amended by the Stamp Duty Amendment Act 2023 Act 1109, a general agreement typically incurs a fixed stamp duty of GHS 18. While the absence of a stamp does not necessarily invalidate the contract between the parties, it is a critical step for ensuring the document can be relied upon in legal proceedings. You should process the payment of stamp duty through the Ghana Revenue Authority within the statutory timeframe, which is generally two months from the date of execution. Electronic Signatures and Execution Modern business practices in Ghana are fully supported by the Electronic Transactions Act 2008 Act 772, which validates electronic signatures for commercial contracts. This means that you do not need to meet in person to sign an NDA. Digital signatures are legally binding provided the identity of the signatories can be verified. While notarisation is not a strict requirement for the validity of an NDA in Ghana, having the document witnessed by an independent party can provide additional evidentiary value should a dispute arise. Common Mistakes to Avoid One of the most frequent errors in drafting an NDA is failing to define the duration of the confidentiality obligation. While trade secrets may require perpetual protection, other business information should have a reasonable term, such as two to five years. Another common pitfall is the failure to include an exceptions clause. Your agreement must acknowledge that the receiving party is not liable for disclosing information that is already in the public domain or is required to be disclosed by a court order or legal mandate. Failing to include these standard exceptions can make the agreement appear unreasonable and potentially void. Enforcement and Remedies If a breach occurs, the disclosing party may seek relief in the High Court of Ghana. Because the NDA serves as evidence of reasonable steps taken to protect your information, it significantly strengthens your position in a breach of confidence claim. Remedies typically include an injunction to prevent further disclosure and monetary damages to compensate for any loss suffered. Always ensure that your agreement includes a governing law and jurisdiction clause that explicitly selects the laws and courts of Ghana to avoid ambiguity in cross-border or international dealings.
