1. PARTIES

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was in the Receiving Party's possession prior to disclosure; or (c) is required to be disclosed by law or court order, provided the Disclosing Party is given prompt notice.

6. TERM AND SURVIVAL

This Agreement shall remain in effect for a period of [TERM_YEARS] years. The obligations of confidentiality shall survive the termination of this Agreement for a period of [SURVIVAL_YEARS] years.

7. RETURN OF MATERIALS

10. ENTIRE AGREEMENT
